What Is a CIPC Transfer?
A CIPC transfer is the official legal process of changing company ownership and directorship. In South Africa, companies are registered entities—they don't change hands like physical assets. Instead, the directors (who control the company) are changed.
Important distinction: You don't "sell" the company itself. You sell your directorship position. The new owner becomes the director and takes control.

What Is CoR39?
CoR39 is the official CIPC form used to notify changes in directorship. When you sell your company to us, we file a CoR39 form removing you as director and adding our directors.
What CoR39 Contains
- Company Details: Registration number, company name
- Old Director Info: Your name, ID number, appointment date
- New Director Info: Our directors' names, ID numbers
- Director Removal Date: The date you cease being a director
- Director Appointment Date: The date we become directors
- Authorized Signatory: Your signature confirming the change
Who Signs CoR39?
The current director (you) must sign CoR39 to authorize the change. This is why your signature is required at sale. We countersign as the incoming directors.
The CIPC Filing Process
Step 1: Form Preparation
We prepare the CoR39 form with all required information. You review it for accuracy. Any errors must be corrected before filing.
Step 2: Your Signature
You digitally sign the form (via email or WhatsApp). Once signed, the form is legally binding.
Step 3: CIPC Submission
We submit the signed CoR39 to CIPC. Filing can be done online or by post. Online filing is faster (3–5 business days processing).
Step 4: CIPC Processing
CIPC reviews the form for completeness. If there are errors or missing information, they request amendments.
Step 5: Approval & Registration
Once CIPC approves, the directorship change is registered. A new CIPC extract is issued showing us as directors.
Other Required Documents
CoR28: Director Change Authorization
In some cases, CIPC requires a CoR28 form (Board Resolution) authorizing the directorship change. We prepare this alongside CoR39.
Address Changes (if applicable)
If the registered office address changes, a CoR05 form is required. We handle this if needed.
Resolution Confirming Transfer
A board resolution stating that the directorship transfer is authorized and agreed upon. We draft this.
What Happens After CIPC Registers the Change?

Common CoR39 Issues & Delays
Missing or Incorrect Information
If your ID number, director name, or company details are wrong, CIPC rejects the form. We contact you for corrections and resubmit.
Prevention: Verify all information on the form before signing. Double-check your ID number and full name spelling.
Signature Issues
Digital signatures must match CIPC records. If your signature doesn't match past submissions, CIPC may request physical notarization.
Prevention: Use the same signature method you've used for past CIPC submissions.
Outstanding CIPC Compliance
If your company has overdue annual returns, CIPC may reject the CoR39 until compliance is current.
Prevention: File all overdue annual returns before the directorship change.
Your Post-Transfer Rights
Access to Company Records
You remain entitled to historical records of the company during your directorship (accounting records, board minutes, etc.).

Reference Checks
You may need to verify directorship history for future business dealings. Your old CIPC extract serves as proof.

After CIPC processes the CoR39, verify the transfer yourself:

- Search your company registration number
- Confirm our names appear as directors
- Confirm your name no longer appears
- Download the updated extract as proof
